Commercial Usage Licence Agreement

1. Purpose & Enforceability
This Commercial Usage Licence Agreement ("Agreement" or "Licence") constitutes a legally binding contract between D App Online Ltd ("Licensor", "we", "us", or "our") and the subscriber ("Licensee", "you", or "your").
By holding an active paid subscription plan (Weekly, Monthly, or Yearly) to DraftSanctum AI and generating visual designs, you are automatically granted full commercial exploitation rights as set out in this Agreement.
2. Grant of Commercial Licence
Subject to ongoing compliance with this Agreement and payment of subscription fees, D App Online Ltd hereby grants to the Licensee a worldwide, perpetual, royalty-free, non-exclusive licence to use, reproduce, modify, adapt, publish, publicly display, distribute, broadcast, and commercially exploit all visual renders, generated imagery, and creative outputs created through the DraftSanctum AI platform ("Licensed Assets").
3. Permitted Commercial Uses
You are permitted to utilise the Licensed Assets for any lawful commercial, professional, or personal purpose without paying royalties or licensing surcharges to D App Online Ltd, including:
4. Ownership & Generative AI Notice
Output Ownership: As between you and D App Online Ltd, you own all commercial exploitation rights to the specific output images generated under your paid account.
Nature of AI: You acknowledge that DraftSanctum AI employs generative neural network models. Due to the probabilistic nature of machine learning algorithms, outputs generated for other users submitting similar prompts may share common stylistic elements; however, your specific generated files remain yours to exploit commercially without ongoing royalty fees.
5. Scope of Rights & Restrictions
This Licence applies strictly to the visual assets created through the service. You may NOT:
- Resell, sublicense, or distribute the underlying DraftSanctum AI generative software engine, API, or service as a competing standalone tool or wrapper.
- Attempt to reverse-engineer, decompile, or extract the source code or proprietary weights of DraftSanctum AI.
- Use the service or assets to generate defamatory, obscene, fraudulent, or unlawful content under English law.
- Share account login credentials with third parties outside your designated organisation or household.
6. Perpetuity & Plan Cancellation
Commercial licences granted for assets created during an active subscription are perpetual. If you cancel, pause, or downgrade your subscription at any point, your commercial rights to all designs created prior to the effective cancellation date remain 100% active, in perpetuity, with zero recurring charges.
7. Limitation of Liability
The service is provided on an "as is" and "as available" basis. Visual designs represent artistic concepts and should not be treated as certified structural, architectural, or civil engineering plans. D App Online Ltd shall not be liable for any indirect, consequential, or economic loss arising from your commercial utilisation of the Licensed Assets.
